These Terms and Conditions ("Terms") govern your use of the Better Block website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Definitions
- "Company", "we", "us", "our" refers to Better Block
- "You", "your", "Client" refers to the person or entity using our website or services
- "Services" refers to the block management and related services we provide
- "Website" refers to betterblock.co.uk and all associated pages
- "Property" refers to any residential block or building managed under our services
3. Our Services
Better Block provides professional block management services including but not limited to:
- Service charge collection and management
- Annual accounts preparation and budgeting
- Compliance with leasehold and property management regulations
- Coordination of maintenance and repairs
- Liaison with contractors, insurers, and other third parties
- Administration of Resident Management Companies (RMCs) and Right to Manage (RTM) companies
The specific services to be provided will be detailed in a separate management agreement between us and the Client.
4. Use of Website
4.1 Permitted Use
You may use our website for lawful purposes only. You must not use our website:
- In any way that breaches any applicable local, national, or international law or regulation
- To transmit any unsolicited or unauthorised advertising or promotional material
- To knowingly transmit any data or material that contains viruses or harmful components

5. Client Obligations
As a Client of Better Block, you agree to:
- Provide accurate and complete information as required for our services
- Promptly notify us of any changes to your circumstances or property details
- Pay all fees and charges in accordance with agreed payment terms
- Cooperate with reasonable requests for information or documentation
- Comply with all applicable laws and regulations relating to the property
- Not engage in any activity that could damage our reputation or business interests
6. Fees and Payment
Our fees for services will be agreed in writing before commencement of any work. Unless otherwise agreed:
- Fees are quoted exclusive of VAT unless stated otherwise
- Payment is due within 30 days of invoice date
- We reserve the right to charge interest on overdue payments at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
- We may suspend services if payment is not received within the agreed timeframe
7. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability to you for any loss or damage arising from our services shall not exceed the total fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of profit, business, goodwill, or anticipated savings
- We shall not be liable for any loss arising from circumstances beyond our reasonable control
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
8. Indemnification
You agree to indemnify and hold harmless Better Block, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or rights of a third party
- Any inaccurate or incomplete information provided by you
9. Confidentiality
Both parties agree to keep confidential all information obtained from the other party that is not publicly available. This obligation continues after termination of any agreement between us.
We may disclose confidential information where required by law, regulation, or court order, or to our professional advisers who are bound by confidentiality obligations.
10. Termination
Either party may terminate our services in accordance with the terms set out in the management agreement. Upon termination:
- All outstanding fees become immediately due and payable
- We will transfer all relevant records and documents to you or your appointed successor within a reasonable timeframe
- Clauses that by their nature should survive termination (including confidentiality, limitation of liability, and indemnification) shall continue to apply
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
12. Dispute Resolution
We are committed to resolving any disputes fairly and efficiently. If a dispute arises:
- We will first attempt to resolve the matter through informal negotiation
- If informal resolution is not possible, either party may refer the dispute to mediation
- If mediation fails, disputes may be referred to the courts of England and Wales
Nothing in this clause prevents either party from seeking urgent injunctive relief from the courts.
13. Regulatory Compliance
Better Block operates in compliance with all applicable UK laws and regulations, including but not limited to:
- The Landlord and Tenant Act 1985 and 1987
- The Commonhold and Leasehold Reform Act 2002
- The Companies Act 2006
- The Data Protection Act 2018 and UK GDPR
- The Building Safety Act 2022
- Service Charge Residential Management Code (RICS)
14. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes acceptance of the modified Terms.
For existing Clients, material changes to these Terms will be communicated directly with reasonable notice.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with any management agreement and our Privacy Policy, constitute the entire agreement between you and Better Block regarding the use of our website and services, superseding any prior agreements or understandings.
17. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
